1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Globlix ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the website globlix.in (the "Site") and the strategic trade aggregation, compliance, logistics, financial, and digital launchpad services provided by Globlix (collectively, the "Services").

By accessing the Site or utilizing our Services, you (the "User," "Client," "Exporter," or "Importer") agree to be legally bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of our Site and Services.

2. DEFINITIONS

  • "Aggregator Engine" refers to Globlix’s proprietary methodologies, network, and systems used to pool freight demand, execute B2B matchmaking, and facilitate international trade.

  • "User Content" refers to any documents, catalogs, product specifications, or corporate data uploaded or provided by the Client.

  • "Third-Party Providers" refers to independent customs brokers (CHAs), freight forwarders, shipping lines, insurance companies, and digital marketplaces (e.g., Amazon, Etsy) utilized in the execution of the Services.

3. ELIGIBILITY

Our Services are strictly intended for use by legally registered businesses, corporate entities, and MSMEs. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and possess the legal authority to bind your registered business entity to this agreement.

4. SCOPE OF SERVICES AND DISCLAIMERS

Globlix acts as a Strategic Trade Aggregator and Consultant. Our Services include, but are not limited to, export licensing, freight negotiation, market intelligence, Letter of Credit (LC) advisory, and digital marketplace onboarding.

  • Agency Status: For the physical movement of goods and customs clearance, Globlix acts as an agent or aggregator on behalf of the Client to coordinate with Third-Party Providers. Globlix is not a vessel owner, common carrier, or government regulatory body.

  • No Guarantees of Trade: While we provide B2B matchmaking, lead generation, and market intelligence, Globlix does not guarantee a specific volume of sales, successful buyer conversions, or marketplace profitability.

  • Advisory Nature: All tariff analyses, pricing strategies, and compliance advisories are provided based on current laws and data available at the time. The Client is ultimately responsible for the final commercial decisions.

5. USER OBLIGATIONS AND WARRANTIES

As a Client utilizing Globlix’s Services, you agree, represent, and warrant that:

  • Accuracy of Information: All documentation, product descriptions, HS codes, and values provided for customs clearance, shipping bills, and marketplace listings are strictly accurate, true, and complete.

  • Lawful Goods: You will not attempt to export or import any contraband, hazardous materials (unless properly declared and certified), counterfeit goods, or any items prohibited by the laws of India or the destination country.

  • Maintenance of Licenses: You are responsible for maintaining the active status of your business registrations, GST, and any specific manufacturing licenses required for your products.

6. FEES, PAYMENTS, AND BILLING

  • Service Fees: Fees for retainers, digital onboarding, or specific consulting projects will be outlined in a separate Service Level Agreement (SLA) or commercial invoice provided to you.

  • Logistics and Statutory Charges: Freight rates, port duties, customs penalties, and government filing fees are dynamic. You agree to pay all actual costs incurred by Third-Party Providers or government bodies as invoiced.

  • Payment Terms: Unless otherwise specified in a formal SLA, all invoices are due upon receipt. Globlix reserves the right to withhold documentation (such as Bill of Lading) or suspend digital marketplace access if undisputed invoices remain unpaid.

7. LOGISTICS, CUSTOMS, AND DELAY LIABILITY

  • Third-Party Actions: Globlix is not liable for delays, losses, or damages caused by Third-Party Providers, including but not limited to vessel delays, port strikes, customs examinations, container shortages, or digital marketplace algorithm changes (e.g., Amazon account suspensions).

  • Customs Holds: The Client is solely responsible for any demurrages, detention charges, or penalties levied by customs authorities due to incomplete documentation, misdeclaration of goods, or random inspections.

8. INTELLECTUAL PROPERTY

  • Globlix IP: All content on the Site, including text, graphics, logos, the "Aggregator Engine" methodology, and digital templates, are the exclusive property of Globlix and protected by Indian and international copyright laws.

  • Client IP: You retain all rights to your trademarks, product images, and catalogs. You grant Globlix a non-exclusive, worldwide, royalty-free license to use, format, and display your IP solely for the purpose of executing the Services (e.g., building your digital launchpad or B2B outreach).

9. CONFIDENTIALITY

Both parties agree to hold in strict confidence any proprietary or confidential information disclosed during the course of business, including trade secrets, pricing structures, buyer lists, and supplier networks. This obligation survives the termination of these Terms.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Globlix, its directors, employees, and affiliates from and against any claims, liabilities, damages, fines, or expenses (including legal fees) arising out of:

  • Your breach of these Terms.

  • Your misdeclaration of goods, valuations, or HS codes.

  • Infringement of third-party intellectual property by your products.

  • Violations of any domestic or international trade, export, or customs laws.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Globlix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill. In no event shall Globlix’s aggregate liability arising out of or related to these Terms exceed the total service fees actually paid by you to Globlix in the three (3) months immediately preceding the event giving rise to the claim.

12. TERMINATION

Either party may terminate these Terms or an active SLA by providing written notice as specified in your individual contract. Upon termination, the Client remains liable for all outstanding fees, freight charges, and statutory dues incurred up to the date of termination.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in [Insert City, e.g., Jaipur / New Delhi], India.

14. AMENDMENTS

Globlix reserves the right to modify these Terms at any time. We will notify Users of significant changes by posting the updated Terms on the Site with a revised "Effective Date." Your continued use of the Services after such updates constitutes your acceptance of the revised Terms.
